Last updated: October 22, 2026
1. About these terms
These terms govern your use of this website and the marketing services provided by UMTM Group LLC, 30 N Gould St Ste R, Sheridan, WY 82801, United States ("UMTM Group", "we", "us"). By using the website or engaging our services, you accept these terms.
2. Use of the website
The content of this website is for general information and does not constitute an offer. You may not copy, reproduce or reuse the website's content for commercial purposes without our written permission.
3. Engagements
Every engagement is defined in a written proposal or statement of work signed by both parties, which sets out scope, deliverables, fees, duration and notice period. If the proposal and these terms conflict, the proposal prevails. Our services are intended for businesses and are not offered to consumers.
4. Fees and payment
Fees are set in the proposal. Unless agreed otherwise, monthly fees are invoiced in advance and are due on receipt. Invoices are issued by UMTM Group LLC. If a payment is late, we may pause work until it is received.
5. Advertising spend and platforms
Advertising spend is paid by the client directly to the advertising platforms and is not included in our fees. Ad accounts are owned by the client. Platforms such as Google, Meta, LinkedIn and TikTok apply their own policies, and we are not responsible for their decisions, including ad disapprovals, account restrictions or changes to their systems.
6. Client responsibilities
- Provide accurate information and timely access to the accounts and materials we need.
- Review and approve campaigns and content within the agreed timelines.
- Ensure that your products, offers and claims comply with the law and with platform policies.
- Hold the rights to any materials you give us to use, such as logos, images and testimonials.
7. Results
Marketing results depend on factors outside our control, including the market, the offer, the client's sales process and platform changes. We commit to the work and the deliverables in the proposal. We do not guarantee specific results, such as a number of leads, sales or a return on ad spend, unless the proposal states otherwise in writing.
8. Intellectual property
Once all fees are paid, the client owns the final deliverables created specifically for them. We keep ownership of our pre-existing materials, methods, templates and know-how. We will show work for a client in our portfolio only with the client's permission.
9. Confidentiality
Each party keeps confidential the non-public information it receives from the other, and uses it only to perform the engagement. This obligation continues for two years after the engagement ends.
10. Limitation of liability
To the extent permitted by law, our total liability arising from an engagement is limited to the fees paid by the client in the three months before the event that gave rise to the claim. Neither party is liable for indirect or consequential losses, including lost profits or lost data. Nothing in these terms limits liability that cannot be limited by law.
11. Termination
Either party may end an engagement as set out in the proposal. If the proposal does not say, either party may end it with 30 days' written notice. Fees for work completed up to the end date remain due.
12. Governing law
These terms are governed by the laws of the State of Wyoming, United States, without regard to its conflict of law rules. Any dispute will be handled by the competent courts of Wyoming, unless the proposal provides otherwise.
13. Changes and contact
We may update these terms. The date at the top shows the latest version; signed proposals stay governed by the version in force when they were signed. Questions: info@umtmgroupllc.com.
